Terms and Conditions
Scope of Services
Kawigraphics Studios ("Company") agrees to provide the client ("Client") with website development, application development, domain registration and renewal, marketing services, professional email services, and cloud hosting services as set forth in the Statement of Work ("SOW") attached hereto.
Term
The term of this Agreement shall commence on the date of acceptance by the Client and shall continue until all services are completed and accepted by the Client.
Payment
The Client shall pay the Company the fees set forth in the SOW for the services provided. All payments shall be made in Kenyan Shillings and shall be due upon receipt of the Company's invoice.
Termination
Either party may terminate this Agreement at any time upon written notice if the other party breaches any material term or condition of this Agreement. Upon termination, the Client shall pay the Company for all work performed through the date of termination.
Confidentiality
The Company shall keep confidential and shall not disclose to any third party any confidential or proprietary information of the Client.
Payment
Warranty: The Company warrants that the services provided under this Agreement will be performed in a professional and workmanlike manner. If the Client believes that any services do not meet this standard, the Client must provide written notice to the Company within 7 days of the date of acceptance of the services.
Indemnification
The Client shall indemnify and hold the Company, its affiliates, and their respective officers, directors, and employees, harmless from any claims, damages, or expenses arising out of or in connection with the Client's use of the services provided by the Company.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya.
Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through mediation before resorting to arbitration or litigation.
Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings or agreements, whether written or oral. This Agreement may not be amended or modified except in writing signed by both parties.
